WELX is a trading name of Maklain Partners Limited, a company registered in England and Wales under company number 17381124 and VAT registration number 527 6816 63, whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. References to 'WELX', 'we', 'us', and 'our' mean Maklain Partners Limited. References to 'you' and 'Subscriber' mean the professional signing up to use the platform.

1. The Service

1.1WELX provides an online software platform that enables Subscribers to manage client bookings, scheduling, payments, and invoicing. The platform is provided on a software-as-a-service basis, accessed via a web browser or app.

1.2We will use reasonable skill and care to make the platform available. We do not guarantee uninterrupted or error-free service, but we will work promptly to resolve any material issues.

1.3We may update, modify, or improve the platform from time to time. Where a change materially reduces the functionality you currently use, we will give you at least 30 days notice before it takes effect.

1.4The platform is designed for use by professionals operating lawfully in their jurisdiction. It is not intended for use by consumers purchasing their services.

2. Your Account

2.1To use WELX you must create an account with a valid email address. Access is provided via a magic link sent to that address each time you sign in, there is no password. You are responsible for keeping access to your email account secure and for all activity that takes place under your WELX account.

2.2You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By signing up, you confirm both.

2.3You must provide accurate information when creating your account and keep it up to date. A material inaccuracy, including a false business name or contact details, entitles us to suspend or terminate your account.

2.4Your account is personal to you. You may not transfer it to, or share it with, any other person without our written consent.

3. Free Trial and Subscription

3.1New accounts receive a 30-day free trial with full access to the platform. No payment details are required to start the trial.

3.2We will remind you by email and in the app approximately five days before your trial ends, and again on the day it ends, with a one-click link to subscribe. These reminders are a courtesy, you are under no obligation to act on them.

3.3Your trial does not convert automatically. Your subscription and the £29.99 monthly charge begin only if you actively choose to subscribe and complete checkout via Stripe. If you do not subscribe by the end of your trial, your access pauses and your data is retained for 30 days. During that window you may export your data or resume by subscribing. After 30 days, your data is deleted in accordance with our data retention policy.

3.4Following the trial, your subscription is billed monthly at £29.99 per month. Payment is taken on the same date each month. Pricing is stated inclusive of any applicable VAT where WELX is VAT registered; we will notify you if our VAT status changes.

3.5We may change the subscription price by giving you at least 30 days written notice. If you do not accept the new price, you may cancel your subscription before the new price takes effect and no further charges will apply.

4. Cancellation and Refunds

4.1You may cancel your subscription at any time through your account settings or by emailing us. Cancellation takes effect at the end of the current billing period. You retain access to the platform until that date.

4.2We do not offer refunds for the current billing period on cancellation. If you cancel partway through a month, you retain access until the period ends and no further charges are taken.

4.3If we increase our price and you cancel as a result under clause 3.5, and your next billing date falls within the 30-day notice period, we will refund any amount charged at the new price.

4.4If the platform suffers a sustained outage of more than 72 consecutive hours that is within our reasonable control and is not remedied within that period, you may request a pro-rata credit for the affected days. Credits are applied to your next invoice and are not paid in cash.

Because WELX's trial does not auto-renew, no charge is ever taken without your active opt-in. The Consumer Contracts Regulations 2013 pre-charge notice requirements do not apply. Your statutory rights as a consumer or sole trader are not affected by this policy.

5. Payment via Stripe Connect

5.1WELX uses Stripe Connect to enable you to accept payments from your clients through the platform. By enabling payments in your account, you agree to Stripe's Connected Account Agreement, which governs your relationship with Stripe directly.

5.2WELX does not hold, receive, or process funds on your behalf at any point. All payments made by your clients flow directly to your Stripe account. WELX has no access to those funds.

5.3You are solely responsible for: setting your own prices; issuing receipts and invoices to your clients; handling refund requests from your clients; managing chargebacks; and complying with all tax obligations arising from payments you receive, including VAT where applicable.

5.4WELX is not liable for any payment dispute between you and your clients, any failed or delayed payment, any chargeback or reversal, or any action taken by Stripe in relation to your Connected Account. All such matters are governed by your agreement with Stripe.

5.5Stripe may suspend or terminate your Connected Account in accordance with Stripe's own terms. If this happens, it does not automatically affect your WELX subscription, but you will be unable to process payments through the platform until the matter is resolved with Stripe directly.

6. Your Responsibilities as a Subscriber

6.1You are responsible for ensuring that your use of WELX complies with all applicable laws and regulations, including data protection law, consumer law, and any professional standards applicable to your profession in your jurisdiction.

6.2You are the data controller for your clients' personal data stored in the platform. WELX processes that data only on your instructions, as set out in the Data Processing Agreement. You are responsible for having a lawful basis for processing your clients' data, providing a privacy notice to your clients, and ensuring any required consents are in place.

6.3You must not store health or medical data about your clients in the WELX platform. This includes injury notes, medical history, medication, diagnosed conditions, and any other information that constitutes special-category data under UK GDPR. The platform is not configured to handle such data securely and you accept full responsibility for any consequences if you store it in breach of this prohibition. We may suspend your account if we become aware of a breach of this clause.

6.4You must use the platform only for lawful purposes and in accordance with these terms. You must not use it to store, transmit, or process any unlawful, harmful, or fraudulent content, or to engage in any activity that could damage WELX or any third party.

7. Intellectual Property

7.1The WELX platform, including its software, design, functionality, branding, and all associated intellectual property, belongs to WELX or its licensors. Your subscription gives you a limited, non-exclusive, non-transferable licence to use the platform for your own business purposes during your subscription.

7.2You must not copy, reverse-engineer, decompile, or attempt to extract the source code of the platform. You must not resell, sublicence, or provide access to the platform to any third party without our written consent.

7.3Your data, including your client records, session notes, and business information, remains your own. We claim no ownership over it. You may export your data at any time through the platform's export function. On termination of your account, we will make your data available for export for 30 days before deletion.

8. Liability

8.1WELX's total liability to you under or in connection with these terms, whether in contract, tort, or otherwise, is capped at the total subscription fees you have paid in the three months immediately preceding the event giving rise to the claim.

8.2WELX is not liable for: any loss of client data caused by your own actions; any payment dispute between you and your clients; any loss arising from Stripe's actions or decisions; any indirect or consequential loss; or any loss of profit, revenue, or business opportunity.

8.3Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraudulent misrepresentation.

8.4The platform is provided for professional use by Subscribers. You are responsible for the professional advice and services you provide to your clients. WELX is a software tool and accepts no liability for the outcomes of your services or business decisions.

9. Suspension and Termination

9.1We may suspend your account with immediate effect if: you breach clause 6.3 (health data prohibition); you fail to pay a subscription invoice and do not remedy this within seven days of notice; you use the platform for any unlawful purpose; or your conduct poses a risk to other users or to the platform's integrity.

9.2We may terminate your account by giving 30 days written notice for any reason, or immediately where clause 9.1 applies. On termination, your data will be available for export for 30 days before deletion.

9.3You may terminate your account at any time under clause 4. On termination by either party, your licence to use the platform ends immediately, subject to the 30-day data export window.

10. Marketing Communications and PECR

10.1Where you joined a waitlist or used a calculator tool on our marketing site, we may have sent you marketing emails on the basis of a soft opt-in under the Privacy and Electronic Communications Regulations 2003 (PECR), where you provided your email in connection with a similar service. Every such email includes a working unsubscribe link.

10.2Following signup, we may send you product updates, feature announcements, and relevant information about WELX by email. You may unsubscribe from marketing emails at any time. Transactional emails, such as billing confirmations and account notices, are not subject to marketing opt-out.

11. General

11.1These terms, together with the Data Processing Agreement, constitute the entire agreement between you and WELX in relation to the platform.

11.2We may update these terms from time to time. For material changes, we will give you at least 30 days notice and require re-acceptance in the platform. Continued use after the notice period constitutes acceptance. The version and date of the terms you accepted are recorded against your account.

11.3If any provision of these terms is found to be unenforceable, the remaining provisions continue in full effect.

11.4These terms are governed by English law. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
